The Supervisory Board is responsible for general management concerns except for those which are the exclusive responsibility of the General Shareholders’ Meeting under Russian law. According to the Bank’s charter the number of members of the Supervisory Board is determined by the decision of the General Shareholders’ Meeting. At the annual General Shareholders’ Meeting on April 29, 2009 it was determined that the Supervisory Board shall consist of 11 members.

Indrek Neivelt joined the Bank in December 2005 and is currently the Chairman of its Supervisory Board. He is Chairman of Council of Estonian Development Fund and Chairman of the Board of the Cultural Fund of Estonia’s President. From January 1999 till April 2005, Mr. Neivelt acted as CEO of Hansabank Group. As CEO of the Hansabank Group he headed Hansapank (Estonia), Hansabanka (Latvia), Hansabankas (Lithuania) and Kvest Bank (Russia). He runs his investment company Trust IN, which is a Bank’s shareholder. Indrek Neivelt graduated from the University of Stockholm and Tallinn Technical University.
Andrey P. Bychkov has been a member of the Supervisory board of the Bank since April 2010. Currently he holds the position of the deputy Director Financial Institutions Department of Vnesheconombank. Mr. Bychkov graduated from the Lomonosov Moscow State University and the Plehkanov Russian Economic Academy.
Vladimir A. Gariugin has been a member of the Supervisory Board of the Bank since May 2005. He had previously held this position from November 1990 to May 2004. Since January 1990, he heads the state unitary enterprise "Petersburg Metropolitan", which is the Saint Petersburg underground transportation system. From October 1992 till June 2003 Mr. Gariugin was a member of the board of directors of ZAO "Metrocom". Mr. Gariugin graduated from the Leningrad University of Engineers for Railway Transportation in 1972.
Andrei T. Ibragimov was elected a member of the Supervisory Board of the Bank and a member of its Audit Committee in December 2005 and September 2007, respectively. From July 2002 until April 2004 he served as Deputy Chairman of the Management Board and Director of Legal Department of the Bank. Since August 1993, Mr. Ibragimov has been the general director of the law firm ZAO "Musin & Partners". He is also a member of the supervisory board of ZAO "Interinvest". Mr. Ibragimov graduated from the Dzerzhinsky High School of USSR Committee for State Security in 1976 with a degree in law.
Elena V. Ivannikova joined the Bank in July 2001 and is currently a member of the Management Board, the First Deputy Chairman of the Management Board and a member of the Supervisory Board of the Bank. Ms. Ivannikova has extensive experience as chief accountant of Commercial Bank Petrovsky and Baltoneximbank. Ms. Ivannikova graduated from the Kiev University of National Economy in 1986.
Felix V. Karmazinov joined the Bank in May 2006 as a member of the Supervisory Board. He has served as general director of the state unitary enterprise "Vodokonal Sankt-Peterburga" (Saint Petersburg Water Supply Plant) since December 1987. Prior to joining the Supervisory Board of Bank Saint Petersburg, he also served as a member of the supervisory board of ICB from April 2002 to March 2006. Mr. Karmazinov graduated from the Leningrad University of Water Transport in 1966.
Nina V. Kukuruzova joined the Bank in September 1999 and is currently a member of the Supervisory Board and adviser to the Chairman of the Management Board. She also is a director of the Education Staff Cultural Centre of Saint Petersburg. Ms. Kukuruzova was a member of the Management Board from 2001 to 2005, acting as first deputy chairman of the Management Board from 2001 to 2003, and served as chairman of the Supervisory Board from 2002 to 2005. Ms. Kukuruzova graduated from the High School of "All-Union Central Council of Trade Unions" Movement in 1983 with a degree in economics and from the International Academy of Sciences and Art in 1998 with a doctorate degree in economics.
Alexander V. Savelyev joined the Bank in January 2001. Mr. Savelyev has extensive experience of working as deputy chairman for a number of banks, including Commercial Bank Petrovsky and Baltoneximbank. He is a Chairman of the Management Board and a member of the Supervisory Board of the Bank Saint Petersburg. Mr. Savelyev graduated from the Tupolev Kazan Aircraft University in 1978.
Dmitry E. Troitsky joined the Bank in December 2005 and is currently a member of its Supervisory Board. From 2002 until 2005 Mr. Troitsky worked as executive director of ZAO "NEVA-RUS", which is a Bank’s shareholder, where he currently holds the position of development director. Mr. Troitsky graduated from the Leningrad Shipbuilding University in 1989.
Maksim U. Vorobyov has been a member of the Supervisory Board of the Bank since April 2009. From 2006 until 2007 Mr. Vorobyov worked as a general director of CLL «Russian Sea». Currently he holds the position of the Chairman of the Supervisory Board of OJSC «Russian Sea Group». Mr. Vorobyov graduated from the International Economic relations department of Moscow State Institute of International Relations (MGIMO-University) in 1998. Global Executive MBA in International economics (the Spanish business school).
Vyacheslav A. Zarenkov has been a member of the Supervisory Board as an independent director since April 2008. From 2002 to 2007 he held office of the General Director of CJSC “Management Company – “Etalon-LenSpetsSMU” Construction Holding Company. Since August 2007 he has been a Chairman of the Board of Directors in the said company. Graduated from the Leningrad Engineering and Construction Institute. Ph.D. in Economics. Professor.

Independent Directors
The Supervisory Board of the Bank includes three independent directors: Indrek Neivelt, Felix Karmazinov and Vyacheslav Zarenkov, who meet the requirements of the Russian and international practice of corporate governance made to the independent directors. The independent director should satisfy the following requirements:
- Not to be an official or an employee of the Bank at the moment of and one year prior to his election;
- Not to be an official of any other company, where any of the Bank’s officials is a member of the Board of Directors (Supervisory Board) responsible for human resources and remuneration, or of a legal entity competing with the Bank;
- Not to be a spouse, parent, son/daughter or brother/sister of any of the Bank’s officials;
- Not to be an affiliated person of the Bank, except for exercising the functions of a member of the Supervisory Board;
- Not to be a party to a deal with the Bank in which he can acquire the property (or receive the cash) worth of 10 or more per cent of his aggregate annual income, except for receipt of the remuneration for participation in the work of the Supervisory Board;
- Not to be a representative of the state, i.e. a person representing the Russian Federation, bodies of the Russian Federation or municipal formations in the boards of directors of the joint-stock companies in relation to which it has been resolved to use a special right (“golden share”), or a person elected to the Supervisory Board from the nominees of the Russian Federation, a body of the Russian Federation or a municipal formation, if such member of the Supervisory Board should vote under the directives (instructions etc.) given in writing by such body of the Russian Federation or municipal formation.
